I. Initial Standby Fee

$15,000 flat fee

II. Active Dispute Retainer

$75,000 ongoing retainer funding

III. Professional Hourly Rates
IV. Final Fee Allocation

Billed against the Active Dispute Retainer

Proportional “loser pays” assessment

Designates DealResolution as the Independent Expert in the Purchase and Sale Agreement (SPA) and covers onboarding of the transaction parameters. Paid at deal closing and borne equally by Buyer and Seller ($7,500 each). Non-refundable and reserves capacity for the earnout or working capital review periods.
Triggered when a Notice of Disagreement is filed and the dispute is submitted for a binding determination. Due within five (5) business days of submission, before analysis begins. Deposited equally by Buyer and Seller ($37,500 each). Hourly fees are billed against this retainer; a replenishment request is issued if the balance falls below $15,000.
Managing Director: $900/hr — executive management and case administration.
Lead Forensic CPA / Director of Dispute Resolution: $800/hr — forensic accounting analysis and determination.
Senior Forensic Analysts: $450–$600/hr — ledger analysis, schedules, and reconciliations.
Data & Technology Administration: $250/hr — secure data room, data ingestion, and records management.
To deter frivolous disputes and distribute costs fairly, all Active Dispute fees are allocated in inverse proportion to the extent each party prevails on the disputed items. Any remaining retainer funds are returned to the parties in line with the final allocation. For example, if the final determination lands 75% of the way toward the Seller’s claim, the Buyer bears 75% of the active fees and the Seller bears 25%.
